Dear Member Partner,

I am pleased to report that an updated Offering Memorandum for the IGW REIT has been filed with the British Columbia Securities Commission and will next be filed with all other provinces in which our members reside. Your subscriptions will now be processed in the order your expressions of interest were received.

We are planning on processing your subscriptions in the form submitted by you with the additional provision that you will have the right to rescind your subscription for two (2) business days after receiving this letter.

For those of you who expressed your interest to subscribe before the February 1st unit re-valuation, we will be processing your subscriptions at the pre-valuation unit price and depositing your distributions for both February and March on March 21st.

Those who expressed their interest to subscribe between February 1st and 29th are eligible to receive their first distribution on March 21st. All expressions of interest received between March 1st and 31st will receive their first distribution on April 21st.

As you know from my earlier announcements (see archives on the Updates page of League's website), the BCSC ordered a halt in the processing of new subscriptions or redemptions for the IGW REIT until a new OM was filed.

In the course of finalizing matters with the Commission we elected to update the Offering Memorandum and to correct minor textual errors discovered during the French translation.

The Offering Memorandum was amended to address the Commission's concern that the REIT's opening financial statements included in the Offering Memorandum did not strictly conform to generally accepted accounting principals, in that customary notes were not attached to those statements and that financial statements were not included for IGW Properties Limited Partnership I and Member Partners' Consolidated Properties Limited Partnership. You will see in the attached copy of the Offering Memorandum amended on March 5, 2008, that those notes are now included. We have also attached the other financial statements with the auditor's reports thereon.
